According to the Companies Ordinance, a limited company incorporated in Hong Kong should appoint a company secretary who must be a Hong Kong resident or a Hong Kong incorporated company.  The obligations of the company secretary are to ensure the operation of their company meet the related legal requirements, to assist in keeping of company accounts, to inform the related government departments about the change of company structure, management and shareholders.  However, the sole director of a private limited company shall not be the company secretary.

Preparation of annual return

We can prepare and submit the annual return for clients.  According to the Companies Ordinance, all limited company registered and operated in the Hong Kong should submit an annual return to Companies Registry within a specific period.  Please note that a fine will be imposed on every late submission.

Handling transfer of shares

In Hong Kong, the transfer of shares in private limited companies is subject to the provision of the Companies Ordinance, and also should comply with the requirements of the company's Memorandum and Articles of Association.  In order to complete the transfer of shares, the parties should prepare the contract notes for shares transfer, together with appropriate instrument of transfer and apply for ad valorem stamping and processing the registration of the shares transfer.  Only after the completion of all the procedures, the company can recognize the assignee to become the lawful shareholder.
